Access from prohibited jurisdictions is strictly forbidden and may result in account termination.

Overview

Replica provides access to tokenized equities issued by Ondo Global Markets (BVI) Limited. These tokens are subject to jurisdiction-based eligibility restrictions set by the issuer. Replica is required to enforce these restrictions as a condition of supporting these assets.

This page reflects the eligibility policy published by Ondo Global Markets.

Prohibited Jurisdictions

Individuals residing in or citizens of, and entities organized under the laws of or with a principal place of business in, the following jurisdictions are strictly prohibited from subscribing for, acquiring, or redeeming Ondo Global Markets tokens on Replica:

Including all states, territories, possessions, and U.S. persons as defined under Regulation S

All provinces and territories

🇨🇺Cuba
🇰🇵North Korea (DPRK)
🇮🇷Iran
🇱🇾Libya
🇲🇲Myanmar
🇷🇺Russia
🇸🇴Somalia
🇸🇸South Sudan
🇸🇩Sudan
🇸🇾Syria

Occupied Ukrainian territories: Crimea, Donetsk People's Republic (DNR), Luhansk People's Republic (LNR), Kherson and Zaporizhzhia regions, and the city of Sevastopol are also prohibited jurisdictions.

Restricted Jurisdictions

Persons in the following jurisdictions may only access Ondo Global Markets tokens if they satisfy specific eligibility requirements (e.g. accredited/professional investor status). Refer to Ondo's full eligibility table for details.

Why These Restrictions?

The tokenized equities available on Replica are issued by Ondo Global Markets (BVI) Limited, a regulated entity that must comply with securities laws and sanctions regulations across multiple jurisdictions.

  • Prohibited jurisdictions are blocked outright because the issuer has determined that offering its tokens there would violate applicable laws, sanctions, or its own governing documents.
  • Restricted jurisdictions allow access only to persons who meet investor sophistication or accreditation thresholds required by local securities regulations.

These restrictions are determined by Ondo Global Markets, not by Replica. Replica enforces them to maintain access to these tokens.

What This Means for You

If You Are in a Prohibited Jurisdiction

  • You may not create an account or connect a wallet to Replica
  • You may not copy portfolios or execute any transactions
  • You may not create portfolios for others to copy
  • Attempting to circumvent these restrictions (e.g., using VPNs) is a violation of our Terms of Service

If You Are in a Restricted Jurisdiction

  • You may be required to prove your eligibility (e.g. accredited investor status) during onboarding
  • You must certify your status before being granted access to transact

Consequences of Violation

  • Your access to the Platform will be immediately terminated
  • You will be unable to execute new transactions
  • Token issuers may freeze your tokenized stock holdings
  • You may face legal consequences in your jurisdiction
  • Replica will not be liable for any losses you incur

Detection Methods

Replica employs various methods to detect access from restricted jurisdictions, including but not limited to:

  • IP address geolocation
  • Wallet transaction history analysis
  • Third-party compliance and KYC services

Using VPNs, proxies, or other methods to mask your location does not exempt you from these restrictions. Your attestation that you are not in a restricted jurisdiction (made when accepting our Terms of Service) constitutes a legally binding representation.

Traveling to Restricted Jurisdictions

If you are a user from an eligible jurisdiction but are temporarily traveling to a prohibited jurisdiction:

  • You should not access Replica while physically present in the prohibited jurisdiction
  • Accessing Replica from a prohibited jurisdiction, even temporarily, may trigger account restrictions
  • Your existing holdings will remain in your vault, but you cannot execute transactions
  • Wait until you return to an eligible jurisdiction to resume using the Platform

Future Changes

The list of prohibited and restricted jurisdictions may change at any time based on:

  • Changes in Ondo Global Markets issuer policies
  • New regulatory requirements or sanctions
  • Addition of new tokenized asset issuers with different eligibility rules
  • Replica's own risk assessment

We will update this page and notify affected users if restrictions change. It is your responsibility to check this page periodically and ensure your continued eligibility.

Your Attestation

By using Replica, you attest and confirm that:

  • You are not a citizen or resident of any prohibited jurisdiction
  • You are not accessing the Platform from any prohibited jurisdiction
  • If you are in a restricted jurisdiction, you satisfy the applicable eligibility requirements
  • You are not acting on behalf of any person or entity in a prohibited jurisdiction
  • You will not transfer your assets to any person or entity in a prohibited jurisdiction
  • You understand that providing false attestations may result in legal consequences
